1. Acceptance of Terms

By accessing or using the TokenAsset platform, you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you may not use our services. TokenAsset reserves the right to update these terms at any time with notice provided through the platform.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use TokenAsset. By registering, you represent that you meet these requirements and that all information you provide is accurate, complete, and current. Use of the platform is void where prohibited by applicable law.

3. Investment Risk Disclosure

All investments carry risk, including the possible loss of principal. Tokenized real estate investments are subject to market fluctuations, liquidity constraints, regulatory changes, and property-specific risks such as vacancy and maintenance costs. Past performance is not indicative of future results. You should only invest funds you can afford to lose.

4. Token Ownership

Tokens issued on the TokenAsset platform represent fractional economic interests in the underlying asset held by a Special Purpose Vehicle (SPV). Tokens do not confer voting rights or direct ownership of physical property. All token transfers are subject to KYC/AML verification and regulatory compliance.

5. Platform Use

You agree not to use the platform for any unlawful purpose, to transmit fraudulent information, or to interfere with the security or integrity of our systems. TokenAsset may suspend or terminate access to users who violate these terms or engage in conduct harmful to other users or the platform.

6. Fees

TokenAsset charges a platform management fee deducted from gross rental income before distributions. Current fee schedules are disclosed on each asset offering page. Fees may change with 30 days advance notice to token holders.

7. Intellectual Property

All content on the platform, including text, graphics, logos, and software, is the property of TokenAsset or its licensors and is protected by applicable intellectual property laws. You may not reproduce or distribute any content without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, TokenAsset shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of Peru. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lima, Peru.
